A multidisciplinary transaction team from BDO and our cooperation partner BDO Legal, led by Düsseldorf-based partner Thorsten Schumacher, advised Inline Rollenoffset Ploch & Strube GmbH, a WKS Druckholding company, on the acquisition of the production lines and assets of Bagel Roto-Offset GmbH & Co. KG at the Meineweh site.
Bagel Roto-Offset GmbH & Co. KG will cease operations in Meineweh on 31 March 2024. The decision was made as part of a strategic realignment of the company. The acquisition was made in an effort to strengthen the existing market presence of the WKS Group and expand existing capacities. In addition to the acquisition, Bagel and WKS have agreed to work together in partnership to dismantle the production facilities and decommission the entire plant.
BDO's transaction team provided comprehensive advice to Inline Rollenoffset Ploch & Strube GmbH on the performance of a financial, tax and legal due diligence and on the preparation and negotiation of the transaction and dismantling contracts. The Düsseldorf law firm ROCAN advised on the merger control aspects of the transaction.
